Terms of Service

Please read these terms carefully before using our services.

1. Introduction and Acceptance

XeroHost is a brand operated by XeroGroup LLC ("the Company", "We", "Our"), a legally registered entity in the state of Wyoming, United States.

XeroHost operates as a provider of infrastructure solutions for game servers, web hosting, virtual private servers (VPS), dedicated servers, and related services.

1.1 Contractual Nature: This document constitutes a legally binding agreement between XeroGroup LLC (operating as XeroHost) and any person or entity ("Customer", "You", "User") who accesses, registers an account, or purchases services from our platform. By clicking "Accept", creating an account, or using our services, you acknowledge that you have read this entire document and agree to be bound by all its terms.

1.2 Legal Capacity: By accepting these terms, you represent and warrant that: (a) you are at least 18 years of age, or (b) if under 18 years of age, you have verifiable consent from a parent or legal guardian who assumes full responsibility for your use of the services.

1.3 Terms Updates: XeroHost reserves the right to modify these terms at any time. Updates will be effective immediately upon publication on our website. Continued use of services after any modification constitutes your acceptance of the revised terms. We recommend reviewing this page monthly.

2. Account Management and Responsibilities

2.1 Account Creation: To access our services, you must register by providing accurate personal information, including but not limited to: full name, valid email address, physical address, and payment method. False or fraudulent information will result in immediate suspension without refund.

2.2 Two-Factor Authentication (2FA): Although not mandatory, we strongly recommend enabling 2FA to protect your account. XeroHost assumes no responsibility for unauthorized access when 2FA is available but not enabled.

2.3 Account Activity Responsibility: You are solely responsible for all actions performed under your account, including contracted services, modified configurations, and hosted content. Do not share your credentials. If you suspect unauthorized access, you must notify us immediately through our ticket system.

2.4 Prohibition of Multiple Accounts: Creating multiple accounts to circumvent promotion limits, fair use policies, or previous suspensions is strictly prohibited. Detection of this practice will result in termination of all associated accounts.

3. Billing Terms

3.1 Pricing Structure: All services are charged in advance according to the selected billing cycle (monthly, quarterly, semi-annual, or annual). Prices are displayed in US dollars (USD) and may include applicable taxes based on your jurisdiction.

3.2 Payment Methods: We accept credit/debit cards, PayPal, cryptocurrencies, and other payment processors as available. Recurring charges will be processed automatically if you have an active registered payment method.

3.3 Renewal Process: Invoices are generated 7 days before expiration. If payment is not received by the due date: • Day 0 (due date): Service remains active but marked as pending. • Day 1: Service access is suspended. • Day 7: Service data is permanently deleted without possibility of recovery.

3.4 Price Increases: XeroHost reserves the right to adjust prices with 30 days prior notice for existing services. New prices will apply at your next renewal. If you do not accept the new price, you may cancel before renewal.

3.5 Taxes and Additional Fees: Displayed prices may not include local taxes (VAT, sales tax) or payment processing fees. These will be added at checkout based on your location and selected payment method.

3.6 Subscription Cancellation Responsibility: Canceling a service in our panel stops future invoices, but YOU are responsible for canceling active recurring subscriptions in PayPal, Stripe, or other processors. We do not issue refunds for payments processed after cancellations if you failed to cancel the subscription at the payment processor level.

4. Refund Policy

XeroHost maintains a clear and fair refund policy designed to protect both customer and company.

4.1 Guarantee Period:All services: 48 hours for first-time customers, 24 hours for existing customers.

4.2 Refund Criteria: Refunds are only granted when: 1. There is a demonstrable technical problem attributable to XeroHost. 2. The problem was reported within the guarantee period via support ticket. 3. Our technical team could not resolve the problem after documented attempts.

4.3 Non-Refundable Reasons: No refunds are granted for: • Lack of knowledge in using the panel or software. • High latency/ping due to your geographic location. • Incompatibility with unofficially supported mods or plugins. • Change of mind or subjective dissatisfaction without technical cause. • Violation of our terms of service.

4.4 Non-Refundable Products: • Dedicated Servers and Colocation Services. • Domain names (.com, .net, etc.). • SSL certificates and dedicated IP addresses. • Third-party software licenses (cPanel, Plesk, Windows Server, Pterodactyl). • Credits or balance manually added to account. • Custom configuration or migration services.

4.5 Refund Method: Approved refunds will be processed to the original payment method within 5-10 business days. Cryptocurrency transactions are only refunded as account credit due to market volatility.

5. Fair Use and Acceptable Use

Resource usage and acceptable use of our services are governed by dedicated policy documents:

Fair Use Policy: Defines resource limits, usage guidelines, and progressive enforcement for shared services. Available at xerohost.net/legal/fair-use. • Acceptable Use Policy (AUP): Defines prohibited content, prohibited activities, DMCA procedures, and abuse reporting. Available at xerohost.net/legal/acceptable-use.

By using our services, you agree to comply with both of these policies in their entirety. Violation of either policy may result in warnings, suspension, or termination of services as described in those documents.

6. Availability Guarantee (SLA)

XeroHost maintains a dedicated Service Level Agreement (SLA) that defines our uptime commitments, exclusions, service credits, and incident response procedures.

The full SLA is available at xerohost.net/legal/sla and covers: • Uptime guarantees by service type (99.5% – 99.95%). • Scheduled maintenance policies. • SLA exclusions (DDoS attacks, force majeure, customer-caused issues). • Service credit schedule and claim procedures. • Network SLA (availability, packet loss, latency targets). • Incident response priorities and timelines.

The SLA is incorporated by reference into this Terms of Service and the Master Services Agreement.

7. Technical Support Scope

XeroHost provides infrastructure support, not application or content development.

7.1 Included Support (No Additional Cost): • Network connectivity and hardware performance issues. • Control panel access (Pterodactyl, cPanel, WHMCS). • Service reinstallation and automatic backup restoration. • Basic assistance with standard service initial configuration. • Investigation of server crashes due to infrastructure causes.

7.2 Not Included Support (Available as Paid Service): • Development, debugging, or optimization of third-party plugins/mods. • Advanced permissions, ranks, or in-game economy configuration. • Software installation not available in our automatic installer. • Data recovery due to user error (manually deleted files). • Server migration from other providers. • Consulting on server architecture or network design.

7.3 Support Response Times:Critical Tickets: <1 hour. • High Tickets: 1-2 hours. • Normal Tickets: 1-4 hours. • Low Tickets: 1-12 hours.

Times are objectives, not guarantees. Tickets are processed 24/7, but responses may be slower during weekends and holidays.

7.4 Support Channels: We provide support through our official ticket system, website live chat, and Discord tickets. We do not offer support via social media.

8. Data Responsibility and Backups

8.1 Your Responsibility for Data: YOU are solely responsible for maintaining backups of all your data. XeroHost provides hosting infrastructure, not guaranteed backup services.

8.2 Automatic Backups: Currently, we do NOT have automatic backup systems implemented; we have reserved this term exclusively for that future purpose. We offer automatic backups as a courtesy on some services: • Game Servers: Daily backups, retained for 7 days. • Web Hosting: Weekly backups, retained for 15 days. • VPS: Optional snapshots (additional cost). • Dedicated Servers: Do not include automatic backups.

These backups are for XeroHost disaster recovery (massive hardware failure). We DO NOT guarantee their availability for individual client recovery.

8.3 Limitation of Liability for Data Loss: XeroHost assumes NO responsibility for data loss caused by: • Hardware failures (while rare, they can occur). • User errors (accidental deletion, incorrect configuration). • Malicious attacks towards your server (if your server is compromised). • Data corruption by faulty software run by you. • Account suspension or termination due to non-payment or terms violation.

8.4 Backup Recommendations: Maintain EXTERNAL backups: • Download backups weekly to your local computer. • Use cloud storage services (Google Drive, Dropbox). • For critical servers, consider automated off-site backup solutions.

Once a service is terminated (for any reason), we CANNOT recover the data. Automatic backups are deleted along with the service.

9. Intellectual Property and Licenses

9.1 XeroHost Content: "XeroHost", our logo, website designs, custom control panels, and documentation are the exclusive intellectual property of XeroHost. Reproduction, copying, or use of these elements without explicit written authorization is prohibited.

9.2 Your Content: You retain all rights to the content you upload to our servers (server files, websites, databases, configurations). By using our services, you grant us a limited, non-exclusive, revocable license to: • Host and display your content as necessary to provide the service. • Perform backups of your content as part of our operations. • Access your content when necessary for technical support or legal compliance.

9.3 Third-Party Software Licenses: If your service includes third-party software (cPanel, Plesk, premium plugins), you must comply with their license terms. XeroHost is not responsible for license violations by the user. Some licenses are billed separately and are non-refundable.

9.4 Copyrighted Content (DMCA): We respond to DMCA (Digital Millennium Copyright Act) notices. If you host copyrighted content without authorization and we receive a valid complaint: • First offense: Takedown notice with 24 hours to correct. • Second offense: Temporary service suspension. • Third offense: Permanent termination.

To submit a DMCA notice, send full details (including proof of ownership and content location) to our designated agent via support ticket.

10. Denial of Service Attacks and Network Defense

10.1 Mitigation Limitations: While the Provider implements industry-standard mitigation hardware and software to filter malicious traffic, we cannot guarantee immunity from all Denial of Service (DoS) or Distributed Denial of Service (DDoS) attacks.

10.2 Liability Disclaimer: The Provider explicitly disclaims any liability for downtime, latency, or packet loss resulting from volumetric attacks targeting our network or your specific service. Such events are considered Force Majeure.

10.3 Targeted Attacks: In the event that a specific service or IP address becomes the target of a sustained or high-magnitude attack that threatens the stability of our infrastructure or impacts other clients: • We will always contact the affected customer to offer solutions based on our network capabilities or expressly trusted third-party services. • We reserve the right to "null-route" (blackhole) the target IP address effectively taking the service offline. • We may suspend the service indefinitely until the attack subsides or a resolution is found. • Repeat targets may face permanent service termination to protect the network integrity.

11. Jurisdiction and Dispute Resolution

11.1 Applicable Law: These terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles. All customers agree to submit to the exclusive jurisdiction of the courts located in Sheridan County, Wyoming.

11.2 Contracting Entity: By accepting these terms, you acknowledge that you are contracting with XeroGroup LLC, a limited liability company registered in Wyoming with Filing ID: 2025-001734118.

11.3 Binding Arbitration: Any dispute that cannot be resolved through direct negotiation will be submitted to binding arbitration conducted by a mutually selected neutral arbitrator or, failing that, designated by the American Arbitration Association (AAA). The arbitration shall be conducted in English and take place in Wyoming, USA, or virtually as convenient. Costs will be split equally unless the arbitrator determines otherwise.

11.4 Class Action Waiver: You agree that any dispute will be resolved individually. You may NOT participate as a plaintiff or class member in class or representative actions against XeroHost or XeroGroup LLC.

11.5 Statute of Limitations: Any claim against XeroHost must be filed within one (1) year from when the cause of action arose. After this period, the claim is barred.

11.6 Local Law Compliance: Although we operate under Wyoming law, we strive to comply with consumer protection regulations of other jurisdictions where reasonably possible, including GDPR (EU), LGPD (Brazil), and other applicable privacy laws.

12. Disclaimer and Limitation of Liability

12.1 "AS IS" Services: XeroHost services are provided "AS IS" and "AS AVAILABLE". We offer no express or implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

12.2 Monetary Liability Limitation: In no event shall XeroHost be liable for damages exceeding the amount you paid for the specific service during the last 3 months. This limitation applies to: • Direct, indirect, incidental, or consequential damages. • Loss of profits, revenue, data, or use. • Business interruption or loss of opportunity.

12.3 No Liability for User Content: XeroHost does not control the content users host on their servers. We assume no responsibility for: • Illegal, offensive, or harmful content hosted by customers. • Intellectual property violations committed by customers. • Interactions between users on multiplayer servers. • Malware or viruses distributed from compromised customer servers.

12.4 Customer Indemnification: You agree to indemnify, defend, and hold harmless XeroHost, its directors, employees, and agents from any claim, demand, loss, or expense (including reasonable legal fees) arising from: • Your violation of these terms. • Your illegal use of the services. • Infringement of third-party rights by your content. • Negligence or willful misconduct on your part.

13. Discounts and Special Promotions

13.1 Nature of Promotions: Discounts are offered at the sole discretion of XeroHost and may be modified, suspended, or terminated at any time without notice. Discounts do not constitute a vested right.

13.2 Discount Codes: • Promo codes are for single use and cannot be combined with other offers unless explicitly stated. • Codes cannot be transferred, sold, or shared publicly. • Creating multiple accounts to abuse promo codes will result in termination of all related accounts without refund.

13.3 Recurring Discounts: Some discounts (e.g., "30% off for life") apply only as long as the customer maintains a continuous billing cycle without interruptions. If a service is canceled and reactivated later, the discount is not automatically reinstated.

13.4 Non-Retroactive Discounts: Discounts created after you purchased a service cannot be applied retroactively to existing purchases. They only apply to new purchases made after the code creation date.

13.5 Discount Exclusions: Certain services are excluded from promotions: • Dedicated Servers and Colocation. • Third-party software licenses. • Additional IP addresses. • Migration or custom configuration services.

14. Service Termination and Suspension

14.1 Termination by Customer: You may cancel your services at any time from the client panel. Cancellation stops future billing but does not grant a prorated refund for unused time (unless our refund policy applies).

14.2 Termination by XeroHost: We reserve the right to suspend or terminate your services immediately, without prior notice, if: • You violate any term of this agreement. • You participate in illegal activities or prohibited content. • You represent a security threat to our infrastructure or other customers. • You fail to pay overdue invoices within the grace period.

14.3 Post-Termination Data Retention:Voluntary Cancellation: Data retained for 7 days, then permanently deleted. • Suspension for Non-Payment: Data retained for 7 days, then permanently deleted. • Termination for Terms Violation: Data may be retained for up to 1 year for investigations or legal compliance but will not be accessible by the customer.

14.4 Appeal Procedure: If your account was terminated for terms violation and you believe it was an error, you may appeal within 14 days by sending a detailed support ticket. Decisions after appeal review are final.

14.5 Effect of Termination: Upon terminating your relationship with XeroHost, all licenses and permissions granted to you under these terms cease immediately. Any outstanding financial obligations remain enforceable.

15. Chargeback and Fraud Policy

15.1 Chargeback Prohibition: Initiating a chargeback without first attempting to resolve the dispute with XeroHost constitutes fraud and will result in: • Immediate suspension of all services. • Permanent account termination. • Listing in industry fraud records (FraudRecord, IPQS). • Possible legal action to recover damages and legal costs.

15.2 Proper Dispute Process: If you have a billing issue: 1. Open a support ticket within 7 days of the transaction. 2. Provide full details of the issue. 3. Allow us 5 business days to investigate and respond. 4. If unsatisfied with our response, THEN you may consider a chargeback.

15.3 Chargeback Consequences: If you initiate a chargeback without following the above process: • You will be charged a $50 USD administrative fee in addition to the chargeback amount. • Your information will be shared with industry fraud prevention services. • You may lose permanent access to XeroHost services and partner providers.

15.4 Fraud Detection: We employ automated fraud detection systems. If your purchase is flagged as suspicious, we may: • Request additional identity verification (Photo ID, card verification). • Delay service activation until verification is complete. • Deny service and issue a refund if verification fails or is not completed within 48 hours.

16. Miscellaneous Provisions

16.1 Entire Agreement: These terms, together with our Privacy Policy, Master Services Agreement, Service Level Agreement, Acceptable Use Policy, and Fair Use Policy, constitute the entire agreement between you and XeroGroup LLC (operating as XeroHost) regarding the use of our services, superseding any prior agreements. 16.2 Severability: If any provision of these terms is held invalid or unenforceable by a competent court, the remaining provisions will continue in full force and effect. The invalid provision will be interpreted or replaced to reflect the original intent to the extent permitted by law.

16.3 Force Majeure: The Provider shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, war, strikes, infrastructure failure by upstream providers, or severe weather conditions.

16.4 No Waiver: Failure or delay in exercising any right under these terms does not constitute a waiver of such right. XeroHost's rights under these terms are cumulative and not exclusive of other rights provided by law.

16.5 Assignment: You may not transfer or assign your rights or obligations under these terms without XeroHost's prior written consent. XeroHost may assign these terms freely in the event of a merger, acquisition, or sale of assets of XeroGroup LLC.

16.6 Notices: All legal notices must be sent in writing to: • To XeroHost: Via support ticket in the client area with subject "Legal Notice" or via Live Chat/Discord marked as "Legal Matter". • To You: To the email address registered in your account.

16.7 Survival: Provisions that by their nature should survive termination (including limitation of liability, intellectual property, dispute resolution, indemnification) shall remain in effect after your relationship with XeroHost ends.

16.8 Language: In the event of a conflict between different language versions of these terms, the Spanish version will prevail for Spanish-speaking users, and the English version for all others.
